Terms of Service

1. Acceptance of Terms
By accessing or using the UniCoreplatform ("Service") provided by BeMind Labs("Company", "we", "us"), you agree to be bound by these Terms of Service. If you do not agree to these terms, do not use the Service.
2. Description of Service
UniCore is an AI-powered business platform that provides CRM, ERP, AI agent orchestration, workflow automation, and related services. The platform is available in multiple editions: Community (open-source), Pro, Enterprise, and Geek.
3. Licensing
The Community, Pro, Enterprise, and Geek editions are licensed under the Business Source License 1.1 (BSL 1.1). The License Server component is proprietary. You must comply with the applicable license terms for the edition you use.
4. User Accounts
You are responsible for maintaining the confidentiality of your account credentials. You agree to notify us immediately of any unauthorized use of your account.
5. Acceptable Use
You agree not to:
- Use the Service for any unlawful purpose or in violation of applicable laws
- Attempt to gain unauthorized access to any part of the Service
- Interfere with the operation of the Service
- Reverse-engineer proprietary components beyond what is permitted by the applicable license
6. Plans & Pricing
UniCore is available in the following editions:
- Community (Free)— Self-hosted, open-source under BSL 1.1. Limited to 2 AI agents, 2 roles, 3 messaging channels, and 1 GB RAG storage. No payment required.
- Pro ($99/month or $990/year)— Managed or self-hosted with full feature set: SSO, RBAC, 50 AI agents, 20 roles, 21+ channels, unlimited RAG, white-label branding, custom domains, and priority support.
- Enterprise (Custom pricing)— Multi-tenancy, high-availability cluster, compliance controls, dedicated support with SLA, and custom integrations. Contact sales for pricing.
Prices are stated in US dollars and are exclusive of applicable taxes. We reserve the right to change pricing with 30 days' prior notice to existing subscribers.
6.1 Billing & Payment
Paid subscriptions are billed in advance on a recurring monthly or annual basis via Stripe. By subscribing, you authorize us to charge the payment method on file for all applicable fees.
- Billing cycle: Monthly subscriptions renew on the same day each month. Annual subscriptions renew on the anniversary of the original purchase date.
- Payment methods: We accept credit cards, debit cards, and other payment methods supported by Stripe.
- Failed payments:If a payment fails, we will retry automatically per Stripe's retry schedule. Your account will enter a 7-day grace period during which the Service remains active. If payment is not resolved within the grace period, your subscription will be suspended.
- Taxes: You are responsible for all applicable taxes. We will collect and remit taxes where legally required.
6.2 Upgrades & Downgrades
- Community to Pro:You can upgrade at any time from your dashboard (Settings → License). The upgrade takes effect immediately upon successful payment. Pro features are activated on your running instance without downtime.
- Monthly to Annual: Switching to annual billing takes effect immediately. The annual rate is charged, and any remaining days on the monthly cycle are credited.
- Annual to Monthly: Takes effect at the end of the current annual billing period.
- Downgrade to Community: Cancelling your Pro subscription reverts your instance to Community edition at the end of the current billing period. Pro features will be disabled, and usage limits will apply.
6.3 No Refund Policy
All fees are non-refundable. By subscribing, you acknowledge and agree that:
- No refunds will be issued for any reason, including partial billing periods, unused time, or early cancellation.
- Cancellation stops future charges but does not entitle you to a refund for the current billing period.
- Annual subscriptions are non-refundable for the remainder of the annual term.
- Provisioning failures: If we are unable to provision your managed instance, we will retry. If the issue cannot be resolved, a service credit may be applied at our sole discretion.
6.4 Cancellation & Data Retention
- You may cancel your subscription at any time through the Stripe billing portal (accessible from Settings → License → Manage Subscription).
- Cancellation takes effect at the end of the current billing period. You retain full access to Pro features until then.
- After your subscription ends, your managed instance remains accessible in read-only mode for 30 days for data export.
- After the 30-day retention period, your managed instance and all associated data may be permanently deleted.
- Self-hosted instances are not affected by cancellation — your data remains on your own infrastructure, but Pro features will be disabled when the license expires.
6.5 Free Trial
The Community edition serves as a permanent free tier with no time limit. There is no separate free trial for Pro. You may evaluate Community features at no cost and upgrade when ready.
7. VPS Setup Services
When you request VPS setup, we will provision and configure the platform on your behalf. You retain full ownership and control of your server and data. We do not access your server after setup unless explicitly requested.
8. Data Ownership
You retain all rights to your data. We do not claim ownership of any data you store in or process through the Service. For self-hosted deployments, your data never leaves your infrastructure.
9. Limitation of Liability
THE SERVICE IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND. IN NO EVENT SHALL THE COMPANY BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, OR CONSEQUENTIAL DAMAGES ARISING FROM USE OF THE SERVICE.
10. Modifications
We reserve the right to modify these terms at any time. Changes will be posted on this page with an updated date. Continued use of the Service constitutes acceptance of modified terms.
